EFFECTIVE CORPORATE GOVERNANCE AND MANAGEMENT IN NIGERIA AN ANALYSIS
ABSTRACT
Recent events worldwide concerning high profile corporate failures necessitated the imperative need to determine the efficacy of corporate governance and management oversight devises. It is in this regard that this thesis has assessed the performances of important stakeholders engaged in policy formulation, day-to-day running of the affairs of the companies as well as those persons or organs charged with oversight responsibilities. The thesis critically analysed and evaluated the conceptual foundation of corporate governance and management in Nigeria as well as the global trend on the development of modern corporate government and management principles. The research work is anchored on primary and secondary source materials in addition to the carrying out of oral interview and the administering of designed questionnaires. The research work presented an opportunity for a thorough and comprehensive analysis and evaluation of the roles of corporate governance and management instruments against the background of the legal climate in which they operated. The thesis position is that corporate bureaucrats charged with the onerous task of effective governance and management of companies in Nigeria as well as the various inbuilt monitoring devises have failed to perform their assigned roles thus raising a critical questions of the necessity for reforms and a concomitant change of attitude amongst stakeholders. Thus, the thesis has noted among other things that the legal regime regulating directorial conducts needs to be revisited in the form of amendments to make the obligations more defined, focused and deterrent
